SUBMITTING RO’s INITIAL DOCUMENTS TO DoIT TO IMPLEMENT THE CLOSING OF RO (1 COPY OF DOSSIER)
- License of establishing the RO (original copy);
- List of creditors and unpaid debts, including tax debts and insurance debts;
- List of employees and their current corresponding rights;
- Notice of the termination of RO’s operation following the prescribed form (except for case where the RO’s license is revoked);
- Decision of the termination of RO’s operation;
- Power of attorney to submit and receive documents (attached the notarized ID card of the authorized person)
After 05 working days, DoIT will issue an official letter to request the RO to publicly post the termination of its operation at the office address and provide the following documents:
- Document of Tax authority to confirm the termination of RO’s tax code validity;
- Document of Insurance Agency to confirm that the RO does not owe any compulsory insurance to the time of terminating RO’s operation;
- Document of Public Security Agency to confirm the return of RO’s seal;
- Document of the office-leasing unit to confirm that the RO does not owe any rental fee to the time of terminating its operation.
A. REQUIRED DOCUMENTS TO SUBMIT TO TAX DEPARTMENT
- Official letter requesting for the termination of RO’s tax code validity (form No. 24/DK-TCT);
- Tax registration certificate or Tax code notice (original copy); or an official letter explaining the loss of above mentioned document;
- The copy (not required for notarization) of the decision to dissolve, or the decision to open bankruptcy procedures, or the decision to divide, or the consolidation contract, or the merger contract, or the decision to revoke the operation registration certificate by competent authority, or the notice of terminating the operation;
- Documents specifying legal responsibilities after dissolution / transformation / merger / consolidation (1. Specify the responsible individual, ID number, residence address in Vietnam, personal phone number; 2. The place to store accounting books and vouchers, so that the Tax department may conduct an inspection of tax finalization for the cases where it is required);
- Property liquidation record or document of property transfer, or document committing that the taxpayer has no assets.
- Report on the invoice usage according to the law on invoices (report on the use of invoices and vouchers, report on the destroy of the remaining invoices (if any)), report on the vouchers of PIT deduction;
- PIT finalization according to regulations.
B. REQUIRED DOCUMENTS TO SUBMIT TO SOCIAL INSURANCE
- The official letter to the Social Insurance agency requesting for the confirmation that the RO does not owe any compulsory insurance to the time of terminating its operation (2 copies);
- Power of attorney to submit and receive documents (attached the notarized ID card of the authorized person).
C. PROCEDURES FOR RETURNING THE SEAL TO THE PUBLIC SECURITY
- Decision on dissolution, Minutes of dissolution meeting (if any) (original copy);
- The official letter to return the seal;
- The RO’s seal;
- Certificate of seal specimen registration (original copy);
- Notarized copy of the RO’s license;
- Notarized copy of the Notice of finalizing the RO’s tax obligations;
- Power of attorney to submit and receive documents (attached the notarized ID card of the authorized person).
* Notes: when submitting documents to the above authorities, the submitter should enclose the mentioned official letter from DoIT.
